1. Acceptance of Terms
By accessing or using any services provided by Call-Nexis ("Company," "we," "us," or "our"), including but not limited to our website, VOIP services, server hosting, SIP trunking, and related telecommunications services (collectively, the "Services"), you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
Call-Nexis provides enterprise-grade telecommunications and infrastructure services, including:
- Voice over Internet Protocol (VOIP) phone systems
- SIP trunking services
- Dedicated and cloud server hosting
- Telecommunications carrier services
- Related technical support and consulting
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.
3. Eligibility
You must be at least 18 years of age and have the legal authority to enter into a binding agreement to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.
4. Account Registration & Security
Certain Services may require you to create an account. You agree to:
- Provide accurate and complete information during registration
- Keep your account credentials confidential
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
5. Acceptable Use Policy
You agree not to use the Services to:
- Violate any applicable local, state, national, or international law or regulation
- Transmit any unsolicited or unauthorized advertising, spam, or telemarketing calls in violation of the Telephone Consumer Protection Act (TCPA) or similar regulations
- Engage in fraudulent, deceptive, or misleading communications
- Interfere with or disrupt the integrity or performance of the Services or related systems
- Attempt to gain unauthorized access to any portion of the Services
- Use the Services for any illegal robocalling or spoofing activities
- Transmit any material that is harmful, threatening, abusive, or otherwise objectionable
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice or refund.
6. Do Not Call Registry
Call-Nexis maintains an internal Do Not Call (DNC) registry. By submitting a phone number to our DNC registry, the number will be blocked from receiving telemarketing calls through our carrier network from all of our customers. Numbers added to the DNC registry will remain there indefinitely unless removal is specifically requested. The DNC registry applies only to telemarketing calls; legitimate business communications related to existing accounts or services are not affected.
7. Complaint & Fraud Reporting
We provide mechanisms for reporting unwanted calls, scams, and fraud through our network. All complaints are reviewed and investigated. When filing a complaint, you agree to provide truthful and accurate information. False or malicious reports may result in account suspension.
8. Fees & Payment
Fees for Services are as quoted or agreed upon in your service agreement or order. You agree to pay all applicable fees in a timely manner. Late payments may incur interest charges and/or result in suspension of Services. All fees are non-refundable unless otherwise specified in writing.
9. Service Level Agreement
Call-Nexis strives to maintain 99.99% uptime for all Services. Specific service level commitments, if any, will be outlined in your individual service agreement. Scheduled maintenance windows are excluded from uptime calculations.
10. Intellectual Property
All content, trademarks, logos, and intellectual property displayed on our website and within our Services are the property of Call-Nexis or their respective owners. You may not copy, reproduce, modify, or distribute any content from our Services without prior written consent.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALL-NEXIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.
Our total aggregate liability for any claims arising out of or related to the Services shall not exceed the total fees paid by you to Call-Nexis in the twelve (12) months preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Call-Nexis, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising out of or related to your use of the Services, your violation of these Terms, or your violation of any applicable law or regulation.
13. Termination
Either party may terminate the Services at any time by providing written notice. Call-Nexis reserves the right to immediately terminate or suspend your access to the Services if you violate these Terms or engage in any prohibited activity. Upon termination, your right to use the Services ceases immediately.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Hennepin County, Minnesota.
15. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated through our website or by email. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
